A Letter of Reinstatement is an official document from your state’s Secretary of State (SOS) that confirms your business registration has been restored from inactive status back to active/good standing.
Why Lili may request a Letter of Reinstatement
During your application review or ongoing account monitoring, Lili checks your business registration status with the Secretary of State. We may request a Letter of Reinstatement when we see that your SOS filing is listed as inactive or administratively deactivated, often because required annual reports or state fees were not submitted on time.
We need this document to confirm that your business has been brought back into good standing with the state so we can continue with your application or keep your account compliant with our legal and regulatory obligations.
What the Letter of Reinstatement usually includes
While the format varies by state, a valid Letter of Reinstatement (or equivalent reinstatement document) from the Secretary of State typically shows:
- Your business’s legal name.
- The state where your business is registered.
- The fact that the business has been reinstated or returned to active/good standing.
- An effective date of reinstatement or a date of issuance.
Lili generally requires an official document issued by the Secretary of State (or equivalent state authority), not a letter drafted by the business owner.
How to obtain a Letter of Reinstatement
To obtain this document, you will usually need to:
- Visit your state’s Secretary of State (SOS) website or contact their office.
- Follow their process to reinstate your business, which may include filing overdue reports and paying any outstanding state fees or penalties.
- Request or download the official Letter of Reinstatement or equivalent reinstatement confirmation once your business status has been updated to active/good standing.
Each state has its own process and fees, so if you’re unsure how to proceed, we recommend checking your SOS website or speaking with your accountant, attorney, or business advisor.
